Welcome to Corpus Technologies. These Terms of Service ("Terms") govern your use of our website at corpus-technologies.com and all services provided by Corpus Technologies ("Company", "we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our website, requesting a consultation, or entering into a service agreement with Corpus Technologies, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any part of these Terms, you must not use our website or services.

These Terms apply to all visitors, clients, and any other parties who access or use our services. We reserve the right to update these Terms at any time, and your continued use of our services constitutes acceptance of any modifications.

2. Services Description

Corpus Technologies is an AI automation agency that designs, builds, and deploys intelligent solutions for businesses. Our services include, but are not limited to:

• AI Automation — Workflow automation powered by artificial intelligence to streamline business operations.
• Custom AI Agents — Purpose-built autonomous agents tailored to specific business needs.
• AI-Powered Websites — Web experiences enhanced with intelligent features such as chatbots, personalization, and dynamic content.
• LLM Integration — Integration of large language models into existing systems and applications.
• Data Pipelines — Design and implementation of data ingestion, processing, and delivery pipelines.
• AI Consulting — Strategic advisory services to help organizations identify and leverage AI opportunities.
• AI Training — Training programs and workshops to upskill teams on AI tools and methodologies.

All projects are custom-scoped. The specific deliverables, timelines, and scope for each engagement are defined in a separate project agreement or statement of work.

3. Engagement Process

Our standard engagement follows these stages:

1. Discovery Call — An initial consultation to understand your business needs, goals, and technical requirements.
2. Proposal — We prepare a detailed proposal outlining the recommended solution, scope of work, timeline, and pricing.
3. Agreement — Upon acceptance of the proposal, both parties sign a project agreement formalizing the engagement terms.
4. Build — Our team designs, develops, and tests the solution according to the agreed specifications, with regular progress updates and feedback cycles.
5. Launch — Final delivery, deployment, and handover of the completed solution, including any agreed-upon documentation and support.

Variations to this process may apply depending on the nature and complexity of the project.

4. Pricing & Payment

All pricing is provided on a custom-quote basis. Each proposal includes a detailed breakdown of costs specific to the project scope and requirements.

• Payment terms, including deposit requirements, milestone payments, and final payment schedules, are defined in the project agreement.
• Unless otherwise stated, invoices are due within 15 days of issuance.
• Late payments may be subject to a fee of 1.5% per month on the outstanding balance.
• Work may be paused on accounts with overdue payments until the balance is resolved.

All prices are quoted in the currency specified in the project agreement. Taxes, if applicable, are the responsibility of the client unless otherwise stated.

5. Intellectual Property

Intellectual property rights are handled as follows:

• Client Deliverables — Upon full and final payment, the client receives full ownership of all custom deliverables created specifically for their project, including custom code, designs, and configurations.
• Pre-existing Materials — Corpus Technologies retains ownership of all pre-existing tools, frameworks, libraries, methodologies, and reusable components that were developed independently or prior to the engagement. These may be licensed to the client as part of the deliverables where applicable.
• Reusable Frameworks & Tools — Any general-purpose tools, templates, or frameworks developed during the course of a project remain the property of Corpus Technologies and may be reused in future projects.
• Third-Party Components — Any third-party software, APIs, or services integrated into the deliverables remain subject to their respective licenses and terms.

6. Confidentiality

Corpus Technologies treats all client engagements as confidential by default. Both parties agree to the following:

• All business information, technical details, strategies, and data shared during the engagement are considered confidential.
• Neither party shall disclose confidential information to third parties without prior written consent, except as required by law.
• Confidentiality obligations survive the termination of the engagement for a period of two (2) years.
• A formal Non-Disclosure Agreement (NDA) is available upon request and may be executed prior to the discovery phase.

Confidentiality obligations do not apply to information that is publicly available, independently developed, or rightfully obtained from a third party without restriction.

7. Warranties & Limitations

Corpus Technologies is committed to delivering high-quality work and will use commercially reasonable best efforts to meet the specifications outlined in each project agreement. However, please note the following:

• AI systems are inherently probabilistic. We do not guarantee specific levels of accuracy, uptime, or performance of AI models or AI-powered features unless explicitly stated in the project agreement.
• Results may vary depending on data quality, third-party service availability, and external factors beyond our control.
• All services are provided "as is" upon delivery. We offer a reasonable bug-fix period as defined in the project agreement but do not provide indefinite warranties.
• We do not warrant that AI outputs will be free of errors, biases, or inaccuracies. Clients are responsible for reviewing and validating AI-generated outputs for their intended use.

8. Termination

Either party may terminate an engagement under the following conditions:

• With Notice — Either party may terminate the agreement by providing 14 days' written notice to the other party.
• For Cause — Either party may terminate immediately if the other party materially breaches the agreement and fails to remedy the breach within 7 days of written notification.
• Payment on Termination — In the event of termination, the client is responsible for payment of all work completed up to the date of termination, including any incurred expenses.
• Deliverables on Termination — Upon payment of all outstanding amounts, completed deliverables will be transferred to the client. Work-in-progress deliverables will be transferred at Corpus Technologies' discretion.

9. Liability Limitation

To the maximum extent permitted by applicable law:

• Corpus Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
• Our total aggregate liability arising out of or in connection with any engagement shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
• Corpus Technologies is not liable for damages resulting from the client's misuse of deliverables, failure to follow provided guidelines, or reliance on AI-generated outputs without appropriate validation.

10. Governing Law

These Terms of Service and any disputes arising from or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Paraguay.

Any disputes that cannot be resolved amicably shall be submitted to the competent courts of Paraguay. Both parties agree to submit to the exclusive jurisdiction of such courts.
